Commercial guidelines for quotations, orders, and warranties.

1. All quotations are in U.S. Dollars (USD) unless otherwise stated and are based on information provided by the Purchaser to 360 Solar Lighting at the time of quotation, including but not limited to location, application, operating profile, and project requirements. It is the Purchaser’s responsibility to confirm the accuracy of all information provided.
2. Orders are not considered accepted until an official Order Confirmation is issued by 360 Solar Lighting.
3. Unless otherwise stated in writing, pricing is FOB Buffalo Grove, Illinois (USA). Title to goods and risk of loss transfer to the Purchaser upon shipment from 360 Solar Lighting’s facility. Prices exclude transportation, duties, VAT, sales tax, inspection fees, storage fees, or any other taxes or charges imposed by local, state, federal, or international authorities.
4. Payment shall be made in USD according to the pricing and terms stated in the quotation. Unless otherwise agreed in writing, payment is 100% due at time of order. Credit terms may be offered to qualified Purchasers based on prior transaction history and/or approval of a completed credit application.
5. The Purchaser may not withhold payment of any invoice for any reason, including claims of set-off or counterclaims.
6. 360 Solar Lighting reserves the right to charge interest on overdue balances at the maximum rate permitted by law.
7. Credit card payments may be accepted at the sole discretion of 360 Solar Lighting for transactions under $5,000 and will be subject to a 6% processing fee.
8. Orders canceled in writing within 48 hours of placement will be subject to a cancellation fee of 10% of the order value or $1,000 (whichever is greater). Orders canceled after 48 hours cannot be canceled.
9. The Purchaser is responsible for arranging proper receipt and, if necessary, storage of goods upon delivery. If the Purchaser refuses or fails to accept delivery, the goods shall still be deemed delivered. 360 Solar Lighting may arrange storage on the Purchaser’s behalf, at the Purchaser’s risk and expense.
10. Any transportation, unloading, reloading, storage, legal, or related fees incurred by 360 Solar Lighting due to the Purchaser’s inability to accept delivery shall be charged to the Purchaser at actual cost plus 18%, payable immediately.
11. Deliveries will be made in a single shipment unless otherwise specified on the Purchase Order. Poles may ship separately and may ship directly from third-party suppliers where applicable.
12. Delivery timelines provided are estimates only and depend on factors beyond the direct control of 360 Solar Lighting. 360 Solar Lighting shall not be liable for any direct, indirect, incidental, or consequential damages resulting from delays in manufacturing, shipping, or transportation.
13. All shipments must be inspected upon receipt. Any shortages or transit damage must be reported to 360 Solar Lighting in writing within five (5) business days of delivery.
14. Products will perform in accordance with published specifications, datasheets, and approved submittals (if provided). No additional performance guarantees apply unless explicitly stated in writing. System performance is dependent on the accuracy of information provided by the Purchaser.
15. 360 Solar Lighting reserves the right to substitute components or materials of equal or superior performance when necessary.
16. 360 Solar Lighting warrants that, at the time of delivery, products will substantially conform to product specifications and be free from defects in materials and workmanship in accordance with the Order Acknowledgement and current Warranty Statement. Liability under warranty is limited to replacement of defective products and shall not exceed the original purchase price of the goods.
17. Warranty Exclusions:Warranty does not apply to products that have been:
Misused, neglected, or damaged.
Modified or tampered with.
Used for non-approved applications.
Installed or operated inconsistently with written instructions.
Installed using non-approved components without prior written authorization.
18. Repair costs not authorized in writing by 360 Solar Lighting will not be reimbursed.
19. The Purchaser is responsible for all labor, equipment rental, shipping, and service costs associated with replacement or repair of products.
20. No modification to these Terms & Conditions shall be valid unless confirmed in writing by an authorized officer of 360 Solar Lighting.
21. 360 Solar Lighting does not accept back charges, liquidated damages, or payment deductions for any reason.
22. The Purchaser agrees to reimburse 360 Solar Lighting for all costs, including legal fees, incurred in enforcing its rights under these Terms & Conditions.
